Here are a couple of ways:
- Boot the machine into Safe Mode (by pressing F8 early
during the boot phase), then delete it.
- Boot the machine with your WinXP CD, select Repair,
then Recovery Console, then delete the file.

Rather than deleting the file you should rename it, e.g.
to CNSMinkp.sy, just in case it's required by some
application.

You should also make a note why you cannot delete the
file. If it is locked then the above methods will work. If it
is write-protected then removing that protection will suffice.

Mike

Were you running your anti-spyware programmes in normal
mode or safe mode? Try safe mode.

Hope this helps.

Rename it and it won't load next boot allowing it to be deleted.

Plato,

Go into safe mode and try deleting. It might delete it or it might not. This
is the next step though.

Safe Mode:
* Start > Run > type MSCONFIG, OK > BOOT.ini tab >
check SAFEBOOT, click OK

NOTE: If on Local computer, click OK ('MINIMAL' selected by default)
If on a Network computer, check NETWORK > click OK

* restart computer
* open Windows Explorer
* locate the file & delete
* Start > Run > type MSCONFIG, OK > General tab >
check 'Normal Startup-load all device drivers & services', click OK
