My idea is that if the Upgrade Advisor freezes, your machine is probably
not a good candidate for XP. What are its specs?

Changed drive which helped somewhat. Got the XP loaded but it still is
hitting the CPU hard. 20 processes and keeps the CPU at 20%. It is not a
memory or disk issue but a CPU issue (seems to me). Same system has been
an NT server with oracle, NT workstation and 2003 test server with
absolutely no problems. Seems very funny that XP needs so much CPU to
stand still. During a copy ..... geez you'd think I had oracle running
with 10 users hitting it hard. What is XP doing with all this CPU resource?

Well, since you didn't tell us what processor you have and how much RAM
it's hard to say. Normally you don't run a lot of programs on a server
and NT4 was a really long time ago. Here are some links to help you
trim the services:

Do some clean-boot troubleshooting to limit what is starting up with
Windows, too:

Turn off a lot of eye candy. Do this from the Advanced tab in System
applet for appearance.

Sorry, sometimes when people are in a hurry..... anyway, CPU 500MHZ and
RAM 512M. Should be fine, within published min and as previously stated,
servers worked fine with same. Will try you suggestions.

Yes, you're right. It will not be a speed demon but should be just fine.
Do the services/startup troubleshooting and turn off the eye candy. Use
the classic gui. Post back with results if you need more help.

By eye candy you mean?

I am using the classic. Will look at other suggestions from the sites
you listed.

What seems strange to me after studying Windows Task Manager is that it
seems to have more than enough memory and disk space but the CPU is
strapped. Any copy function puts CPU at 100% and CPU sits at 20-25% at
idle. Strange.
