Hi,
I have windows xp pro with sp 2. i was getting ntdll.dll error so i tried to
upgrade it by installing windows xp pro with sp2 again. now when setup
restarted my computer, it is installing devices and when it is 37% completed
it restarts. i tried to take out the windows xp pro sp2 cd and then it says

input your xp cd, hit f8 to go into safe mode(if you can get this far), now
use system restore in start > accessories and go back in time!

other wise try to do the repair function, or last known configuration

The OP doesn't need to "insert xp cd" to go to Safe Mode and this isn't
going to help him anyway. He tried to fix his problem by doing a Repair
Install of Windows, which failed. He needs to get his data off (see
below for suggestions), test the hardware to make sure it is healthy
and if hardware is good, format the drive and clean-install Windows.

To get data off the drive:

a. Slave drive in PC with working XP install and see if the files are
visible. If they are, copy to working install's hard drive with
Explorer. If you don't have a second PC but have another hard drive or
third-party partitioning software you can try a parallel install.

b. Personally, I would just use Knoppix to get the data off. If Knoppix
can't see the data, you can use data recovery software. Here is
information on using Knoppix and links to data recovery software and
data recovery firms:

Knoppix is a Linux distro on a live cd. You will need a computer with
two cd drives, one of which is a cd/dvd-rw OR a usb thumb drive with
enough capacity to hold your data. To get Knoppix, you need a computer
with a fast Internet connection and third-party burning software.
Download the Knoppix .iso from www.knoppix.net and create your bootable
cd. Then boot with it and it will be able to see the Windows files. If
you are using the usb thumb drive, right-click on its icon (on the
Desktop) to get its properties and uncheck the box that says "Read
Only". Then click on it to open it. Note that the default mouse action
in the window manager used by Knoppix (KDE) is a single click to open
instead of the traditional MS Windows' double-click. Otherwise, use the
K3b burning program to burn the files to cd/dvd-r's.

Ontrack's EasyRecovery -

DriveSavers - http://www.drivesavers.com
Seagate Data Recovery Services -

I would also at least test the hard drive to make sure it is good before
installing Windows again because a software solution on bad hardware is
useless. Use a diagnostic utility from the drive mftr.'s website.
Testing the RAM couldn't hurt either. I use Memtest86+ from
www.memtest.org.

If this seems too complex (and there is no shame in admitting this),
take the machine to a professional computer repair shop (not your local
equivalent of BigStoreUSA) and have them retrieve your data and do the
necessary work.
