Default Windows 2003 Upgrade in a Stalemate

Hi,
In our Intel S875WP1-E entry level server board (with latest BIOS update –
P18) I am running Windows Server 2003 Enterprise Edition. Recently I had a
problem with Workstation Service not starting up and inability to open any
kind of snap-ins for administration. I could not even open Device Manager
snap-ins, no MMC. So I decided to do a reinstall Windows. After starting the
Setup.exe (upgrade) from the CDROM, the setup progressed and restarted the
computer as a next step to continue setup. When the setup was booting up I
hit F6 and inserted Floppy for latest ‘Adaptec Embedded HostRAID Controller
Driver for Windows 2003’. The setup accepted the driver and progressed for a
while but after 5-10 sec it says:

Setup was unable to verify drive C:
Your computer may not have enough memory to examine the drive or your
Windows CD may contain some corrupt files.

To continue press ENTER

But after hitting Enter it says:

Setup can not access the CD containing the Windows installation files. To
retry, press ENTER. If you are not successful after several tries, quit
setup. Then, to restart setup, copy the Windows installation files to your
hard disk.

To quit setup, press F3.
-----------------------------------------------------------

I am certain that the installation CDROM is error free. I’ve tested the
CDROM by trying to install on another computer.

And after starting Windows (with Workstation service not starting – no net
logon) if I try to run setup.exe it says “Out of Memory”.

Please help.
