Default upgrade from win2000 pro

can anyone help? I purchase a dell dimension desktop in 2001. it included
win2000 pro as the original os with an option to upgrade XP pro at a later
date. received the xp pro upgrade disk and just now getting around to
upgrading.

When i try to upgrade i get a file copy error stating that access is denied
for ntdetect.com and ntldr files. i've checked the file attributes and they
seem to have the correct settings. i'm also logged in as the administrator
while initiating the upgrade. if i skip these files to be copied the setup
program terminates. can someone tell what to do to so i can get the setup
routine to recognize these boot files.
